Terms of service
About these terms
These terms govern purchases from the Puzzle Electronics web store. If you have a signed agreement with Puzzle Electronics Corporation ("Puzzle"), or your purchase is made under the Puzzle Terms and Conditions of Sale (for example, by purchase order), those terms control and these web store terms do not apply. Web store sales are intended for business use; we do not target consumers.
Orders and pricing
All prices are in U.S. dollars and exclude shipping and applicable taxes, which are shown at checkout. We may correct pricing or clerical errors and may cancel an affected order with a full refund if you do not accept the corrected price. Your order is an offer to purchase; it is accepted when we send the shipping confirmation.
Shipping and returns
Shipping is described in our Shipping Policy, and returns and warranty service in our Return and Refund Policy and the Puzzle RMA Policy.
Firmware, software, and documentation
Firmware, SDKs, and documentation supplied with or for the products are licensed, not sold, under the Puzzle Embedded Software and Firmware End User License Agreement (EULA) and the Puzzle SDK and Developer Tools License, available at puzzleelectronics.com/legal. By installing, activating, or using the firmware or hardware you accept the EULA. If you resell equipment that incorporates Puzzle products, the EULA's pass-through terms apply.
Special applications
Puzzle products are not designed or warranted for use in applications where a failure could cause personal injury or death ("special applications"). Using a Puzzle product in a special application without our express written agreement is prohibited, and we are not liable for damages associated with such use.
Warranty
Each product is warranted for one (1) year from delivery to be free from defects in materials and workmanship. Your exclusive remedy, and our sole obligation, is, at our option, repair, replacement, or refund of the purchase price, handled through the Puzzle RMA Policy. To the fullest extent permitted by law, all other warranties and conditions, express, implied, or statutory, including merchantability and fitness for a particular purpose, are disclaimed.
Limitation of liability
To the fullest extent permitted by law, Puzzle is not liable for indirect, incidental, consequential, or special damages, including lost profits or downtime, arising from the purchase or use of our products, and our total liability for any claim will not exceed the amount you paid for the product concerned in the twelve (12) months preceding the claim.
Governing law; disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or a web store purchase will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by a single arbitrator, seated in Wilmington, Delaware. Either party may seek temporary injunctive relief in a court of competent jurisdiction to protect intellectual property pending arbitration. If any provision is unenforceable, the rest remains in effect.
